    Non-executive directors are appointed for a variety of reasons, the most common of which are because of the funds they have invested (DD) or because of the skills they have/access to markets/connections etc.

    They are not involved in the day to day running of the business but it means that the executive directors are held accountable to a wider variety of people.

    Under corporate governance rules all public companies must have non-exec directors to ensure the company is run in the best interests of the shareholders. Otherwise the directors could do what they wanted unopposed. As has been mentioned, while they are not actively involved in the day-to-day running of the company they will be involved in things like the remmuneration committee, where they decide on the pay for the exec directors, and the nominations and audit committees. An individual can only remain as a non-exec directors for a specific period of time before their independence is seen to be compromised.
